1. About ShopList

ShopList ("we", "us", "our") is a UK-based grocery planning service operated at shoplist.uk. ShopList provides tools to help users plan shopping lists, track spending, and share lists with others.

2. Acceptance of Terms

By creating an account or using ShopList, you agree to be bound by these Terms and Conditions and our Privacy Policy, which are incorporated herein by reference.

If you do not agree to these terms, you must not use ShopList.

3. Eligibility

4. Your Account

4.1 Registration

You must provide a valid email address and create a password of at least 8 characters. You are responsible for maintaining the confidentiality of your login credentials.

Each person may hold one free account. Creating multiple accounts to circumvent limits or abuse the service is prohibited.

4.4 Account Accuracy

You agree to keep your account information accurate and up to date. You can update your name and email address at any time in the Settings section of the app.

5. Free and Pro Plans

5.1 Free Plan

ShopList offers a free plan with core features at no charge. We reserve the right to modify the features included in the free plan with reasonable notice.

5.2 Pro Plan

ShopList Pro is a paid subscription at £2.99 per month that provides additional features including category budget limits, CSV export, extended spending history, and priority support.

5.3 Feature Changes

We may add, remove, or modify features in either plan. For material changes to the Pro plan, we will provide at least 30 days' notice by email.

6. Payments, Billing and Cancellation

6.1 Billing

Pro subscriptions are billed monthly in advance. Payments are processed securely by Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis.

6.2 Cancellation

You may cancel your Pro subscription at any time through your Stripe billing portal or by contacting us at contact@shoplist.uk. Cancellation takes effect at the end of the current billing period. You will retain Pro access until the end of the paid period.

6.3 Refunds

We do not offer refunds for partial months. However, if you experience a technical fault that prevents use of the service, contact us within 14 days and we will assess your case. Your statutory rights under the Consumer Rights Act 2015 are not affected.

6.4 Failed Payments

If a payment fails, we will attempt to retry the payment. If payment cannot be collected, your account will revert to the free plan and you will be notified by email.

6.5 Price Changes

We will give at least 30 days' notice by email before changing subscription prices. Continued use after the notice period constitutes acceptance of the new price.

6.6 Consumer Rights

As a UK consumer, you have a 14-day right to cancel a new subscription under the Consumer Contracts Regulations 2013. However, by using the Pro service immediately upon subscribing, you acknowledge that the 14-day cancellation right is waived for services already consumed. A pro-rata refund for unused days may be provided at our discretion.

8. Your Content

8.1 Ownership

You retain ownership of all content you create in ShopList, including your shopping lists and spending data ("Your Content").

8.2 Licence to Us

By using ShopList, you grant us a limited, non-exclusive licence to store, process, and display Your Content solely for the purpose of providing the service to you. We will not use Your Content for any other purpose.

8.3 Shared Lists

When you share a list via a public link, you accept that anyone with that link can view and add to your list. You are responsible for the content of shared lists and for disabling sharing when you no longer wish others to access your list.

8.4 Data Export

You may export your shopping list data at any time using the export features within the app. Pro subscribers have access to CSV export.

9. Intellectual Property

ShopList, including its name, logo, design, code, features, and content (excluding Your Content), is owned by ShopList and protected by UK and international intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works of any part of ShopList without our prior written consent.

10. Disclaimer of Warranties

ShopList is provided "as is" and "as available" without warranties of any kind.

To the fullest extent permitted by English law, we disclaim all warranties, express or implied, including but not limited to:

Price estimates shown in ShopList are user-entered approximations only. We make no guarantee that prices reflect actual supermarket prices. Always verify prices in store.

11. Limitation of Liability

To the fullest extent permitted by law, ShopList shall not be liable for:

Our total liability to you for any claim arising from use of ShopList shall not exceed the amount you paid to us in the 12 months preceding the claim, or £50, whichever is greater.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited under English law.

12. Indemnification

You agree to indemnify and hold harmless ShopList, its operators and staff from any claims, losses, damages, liabilities, and expenses (including reasonable legal costs) arising from your use of ShopList in violation of these Terms or applicable law.

13. Termination

13.1 By You

You may close your account at any time by contacting us at contact@shoplist.uk. We will delete your account and personal data within 30 days, except where retention is required by law.

13.2 By Us

We may suspend or terminate your account immediately if:

For minor breaches, we will generally give you notice and an opportunity to remedy the breach before terminating your account.

13.3 Effect of Termination

Upon termination, your right to use ShopList ceases immediately. We will delete your data in accordance with our Privacy Policy.

14. Changes to the Service

We may modify, suspend, or discontinue ShopList or any part of it at any time. We will endeavour to give reasonable notice of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of ShopList after the effective date constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must stop using ShopList and may close your account.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of ShopList shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before pursuing legal action, we encourage you to contact us at contact@shoplist.uk to resolve any dispute informally. We will respond within 14 days.

If you are a consumer, you may also be entitled to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr, although as a UK service, UK ADR schemes apply post-Brexit.

The Alternative Dispute Resolution for Consumer Disputes Regulations 2015 may apply to disputes between us. We are willing to engage in ADR where appropriate.
